Commercial Terms and Manufacturing Order Information

Apparel Manufacturing Commercial Terms, Sampling, Order Approvals and International Sourcing Procedures

Last Updated: 11 October 2026

1. Introduction

Mirthuni Apparel Sourcing Service provides apparel manufacturing and sourcing support for clothing brands, importers, retailers and private-label businesses.

Our commercial arrangements are designed around custom apparel development, material sourcing, manufacturing coordination, quality inspection and export shipment preparation.

Because each manufacturing project may involve different fabrics, garment constructions, quantities, customisation requirements and delivery destinations, commercial conditions are evaluated individually.

This page provides general information about our apparel manufacturing commercial terms and standard order coordination practices.

Final prices, payment arrangements, delivery schedules, shipping responsibilities and other binding commercial conditions are confirmed separately through the applicable quotation, pro forma invoice, purchase order or other accepted written agreement.

2. Scope of Our Commercial Services

Our services primarily support custom knitted apparel manufacturing and sourcing.

Product categories include:

  • Regular-fit, oversized and drop-shoulder T-shirts

  • Polo shirts and knitted tops

  • Hoodies and sweatshirts

  • Joggers and knitted trousers

  • Knitted shorts and casual bottoms

  • Loungewear and sleepwear

  • Selected children’s and baby garments

  • Other approved apparel categories

Depending on the project, services may include fabric sourcing, technical development, sampling, manufacturing coordination, private labelling, printing, embroidery, quality monitoring, packing and export shipment support.

Manufacturing is undertaken through selected production partners according to the approved order requirements.

3. Business-to-Business Manufacturing Arrangements

Mirthuni Apparel primarily operates on a business-to-business basis.

Our customers may include:

  • International apparel brands

  • Startup clothing labels

  • Fashion retailers

  • Importers and distributors

  • Private-label businesses

  • Corporate and promotional garment buyers

  • Established apparel sourcing organisations

Orders are generally developed and priced according to the buyer’s product specifications rather than through a standard online retail checkout.

Submitting an enquiry does not automatically constitute an accepted manufacturing order.

4. Minimum Order Quantities

Minimum order quantities depend on garment category, fabric construction, colour requirements, material sourcing conditions and production feasibility.

Our general starting MOQ for core knitted apparel is:

300 pieces per colour per style.

Certain product categories or material arrangements may require different minimum quantities.

Examples include:

  • Selected children’s apparel: generally 400 pieces per style per colour

  • Certain flannel fabric programmes using available mill options: approximately 500 pieces per colour

  • Custom yarn-dyed fabric developments: approximately 1,000 pieces per colour

These quantities are general sourcing guidelines, not universal commitments.

Smaller trial orders or alternative quantity arrangements may be evaluated individually, subject to manufacturing feasibility and written confirmation.

The final accepted MOQ is stated in the relevant quotation or order agreement.

5. Product Specifications and Enquiry Requirements

To evaluate a manufacturing enquiry, buyers are encouraged to provide:

  • Garment type and reference images

  • Technical pack or construction specifications

  • Fabric composition and knitted structure

  • Required GSM

  • Size range and measurement chart

  • Colour options

  • Quantity per style and colour

  • Printing and embroidery artwork

  • Labels and trims

  • Washing and finishing requirements

  • Packaging instructions

  • Destination country

  • Required delivery schedule

Complete specifications help us assess technical feasibility, sourcing options and commercial pricing.

Additional information or sample development may be required before a final quotation can be prepared.

6. Quotations and Price Confirmation

Manufacturing quotations are prepared according to the available project specifications.

Pricing may be influenced by:

  • Fabric composition and GSM

  • Yarn and material sourcing

  • Garment construction complexity

  • Order quantity

  • Colour variations

  • Printing and embroidery

  • Labels and trims

  • Washing and finishing processes

  • Testing and inspection requirements

  • Packaging

  • Shipping terms

  • Delivery destination

Indicative pricing provided during initial discussions is subject to confirmation.

A final quotation will identify the applicable commercial scope and pricing basis.

Prices are not automatically inclusive of taxes, duties, freight, insurance, testing or other charges unless specifically stated.

7. Currency, Taxes and Additional Charges

Quotations may be issued in an agreed currency depending on the buyer, destination and transaction requirements.

The applicable quotation or pro forma invoice should identify the currency and relevant pricing basis.

Depending on the transaction, additional charges may include:

  • Applicable taxes

  • Freight and insurance

  • Customs duties

  • Import taxes

  • Customs clearance

  • Laboratory testing

  • Third-party inspection

  • Special packaging

  • Additional sample development

  • Buyer-requested changes

The allocation of these costs depends on the agreed commercial and shipping terms.

8. Sampling and Product Development

Sampling is an important stage of custom apparel manufacturing.

Depending on the project, sampling may involve:

  • Pattern development

  • Fabric sourcing

  • Prototype construction

  • Fit evaluation

  • Print or embroidery development

  • Washing and finishing trials

  • Pre-production sample approval

Sampling is a paid service.

Under our standard sampling arrangement, 50% of eligible sample charges are adjusted against the confirmed bulk order, subject to the agreed sampling and bulk order terms.

Sampling charges vary according to the fabric, garment complexity, number of developments, special processes and courier requirements.

Sample development costs and the applicable adjustment conditions will be communicated for the relevant project.

9. Sample Approval and Bulk Production

Bulk production is coordinated according to approved specifications and applicable sample approvals.

Depending on the product, the buyer may be asked to approve:

  • Fabric quality and composition

  • GSM and handfeel

  • Garment measurements

  • Fit and construction

  • Colour references

  • Printing and embroidery

  • Labels and trims

  • Washing and finishing

  • Packaging details

Approvals should be communicated clearly in writing.

Changes requested after approval may affect manufacturing cost, production planning and delivery schedules.

Any additional costs or revised conditions should be confirmed before implementing material changes.

10. Purchase Orders and Order Confirmation

A purchase order or other written order confirmation should accurately reflect the agreed manufacturing requirements.

Relevant information may include:

  • Buyer and supplier details

  • Product description

  • Style reference

  • Quantity and size breakdown

  • Colour breakdown

  • Unit price and total value

  • Currency

  • Approved specifications

  • Payment conditions

  • Delivery arrangements

  • Shipping terms

  • Inspection requirements

  • Special instructions

A purchase order, quotation or pro forma invoice does not necessarily establish acceptance of every term proposed by either party.

Order acceptance and the applicable commercial conditions should be confirmed through the relevant written communications or agreement.

11. Payment Terms

Payment arrangements are established individually for each manufacturing transaction.

Depending on the agreed order, payment terms may address:

  • Advance payments

  • Production-stage payments

  • Balance payments

  • Payment milestones

  • Currency

  • Banking arrangements

  • Supporting commercial documentation

Mirthuni Apparel does not publish one universal payment percentage or payment schedule applicable to every buyer.

The applicable payment obligations will be specified in the accepted quotation, pro forma invoice, purchase order or other written agreement.

Buyers should verify payment instructions through established company communication channels before transferring funds.

12. Production Lead Times

Manufacturing lead times depend on several factors, including:

  • Fabric and yarn availability

  • Custom dyeing requirements

  • Sampling and approval completion

  • Printing and embroidery complexity

  • Order quantity

  • Production capacity

  • Washing and finishing

  • Testing and inspection

  • Packing requirements

Estimated lead times are communicated according to the relevant order.

A preliminary production estimate is not automatically a guaranteed shipment date.

Confirmed delivery commitments and any applicable conditions must be established in the accepted commercial documentation.

13. Fabric and Material Procurement

Certain orders require fabrics, yarns, dyes, trims or other components to be procured specifically for the buyer’s requirements.

Custom materials may involve:

  • Minimum mill quantities

  • Special yarn sourcing

  • Fabric knitting

  • Dyeing and finishing

  • Custom colour development

  • Imported trims

  • Special labels or packaging

Material procurement arrangements should be considered during order confirmation.

Changes or cancellations after dedicated materials have been ordered or production activities have begun may create costs or limitations.

The financial treatment of such circumstances is determined by the applicable agreement and law.

14. Customisation and Private Labelling

We support approved customisation arrangements, which may include:

  • Brand labels

  • Size and care labels

  • Hangtags

  • Heat-transfer labels

  • Screen printing

  • Direct-to-film printing

  • Direct-to-garment printing

  • Puff printing

  • Embroidery

  • Special garment finishes

  • Buyer-specific packaging

Customisation requirements should be provided before sampling and bulk production.

Buyers are responsible for supplying or approving the artwork, brand information and other intellectual property they are authorised to use.

Mirthuni Apparel may request clarification or supporting approval where necessary.

15. Buyer-Supplied Materials and Components

Some buyers may arrange for materials or components to be supplied by nominated third parties.

These may include:

  • Fabric

  • Labels

  • Zippers

  • Drawcords

  • Printed transfers

  • Embroidery components

  • Packaging materials

Such arrangements require agreement on delivery timing, quantities, compatibility, quality and handling responsibilities.

Delays, shortages or defects involving buyer-supplied components may affect production planning.

The allocation of related costs and responsibilities must be agreed for the particular order.

16. Quality Assurance and Inspection

Quality requirements are established according to the approved technical specifications and agreed inspection criteria.

Depending on the order, quality coordination may include:

  • Fabric and trim review

  • Pre-production approvals

  • In-line garment checks

  • Measurement verification

  • Printing and embroidery inspection

  • Finishing review

  • Packing verification

  • Final inspection

Acceptance Quality Limit (AQL) inspection may be arranged when an appropriate sampling plan and acceptance criteria have been agreed.

Third-party inspections and laboratory testing are subject to separate arrangements where applicable.

For further information, refer to our Quality Assurance and Inspection Policy.

17. Product Safety and Regulatory Requirements

Product safety requirements differ according to the destination country, garment category and intended user.

Relevant requirements may involve:

  • Textile fibre composition

  • Care and origin labelling

  • Chemical restrictions

  • Children’s clothing safety

  • Flammability

  • Functional components

  • Product traceability

  • Testing and documentation

Buyers should communicate the relevant destination-market requirements before production.

Where agreed, Mirthuni Apparel can coordinate manufacturing-related information and appropriate testing arrangements.

Refer to our Product Safety and Regulatory Compliance Statement for further information.

18. Shipping Terms and Incoterms

Depending on the order, Mirthuni Apparel may coordinate shipments under agreed international commercial terms, including:

  • Free on Board (FOB)

  • Cost, Insurance and Freight (CIF)

  • Delivered Duty Paid (DDP), where feasible and expressly agreed

The applicable Incoterms rule, named place or port and relevant edition should be stated in the accepted transaction documents.

Shipping responsibilities, risk transfer, customs clearance, freight, insurance, import duties and taxes depend on the agreed rule and any additional written arrangements.

DDP arrangements require specific confirmation of feasibility, destination requirements, importer arrangements and applicable charges.

For more information, refer to our Shipping, Customs and Incoterms Policy.

19. Freight and Delivery Coordination

International shipping arrangements depend on the order quantity, cargo characteristics, destination and selected transport mode.

Depending on the agreed scope, shipment coordination may involve:

  • Export packing

  • Carton preparation

  • Commercial invoices

  • Packing lists

  • Freight forwarder communication

  • Export documentation

  • Customs coordination

  • Shipment scheduling

Buyers may nominate their own freight forwarder, subject to the agreed shipping arrangements.

Transit times and customs clearance are influenced by third-party logistics providers, carriers, authorities and destination conditions.

20. Customs Duties and Import Requirements

Import duties, taxes and regulatory charges depend on the destination market, product classification, customs valuation, origin and applicable trade rules.

The responsible party for each charge is determined by the agreed commercial terms and applicable law.

Buyers should confirm import requirements with their customs broker or other qualified adviser.

Preferential tariff treatment, where available, depends on satisfying the relevant rules of origin and documentation requirements.

No preferential duty rate should be assumed solely because the goods are manufactured or exported from India.

21. Order Modifications

Buyer-requested modifications may include changes to:

  • Fabric composition

  • GSM

  • Garment measurements

  • Fit

  • Colours

  • Artwork

  • Labels

  • Trims

  • Quantities

  • Packaging

  • Delivery arrangements

Changes should be requested and approved in writing.

Depending on the stage of production, modifications may require additional development, materials, labour or revised schedules.

Any resulting commercial adjustment should be agreed before the change is implemented.

22. Order Cancellation and Project Discontinuation

Custom apparel manufacturing may involve dedicated material purchases, development work and production activities.

Accordingly, cancellation or discontinuation arrangements cannot be treated in the same manner as ordinary ready-stock retail purchases.

The treatment of advance payments, committed materials, work in progress, completed goods and other relevant costs depends on the accepted commercial terms, documented circumstances and applicable law.

This page does not establish an automatic refund entitlement, a non-refundable deposit rule or a fixed cancellation charge.

Cancellation requests should be communicated in writing and reviewed against the specific order arrangements.

23. Production Delays and Unforeseen Circumstances

Manufacturing and shipping schedules may be affected by circumstances such as:

  • Material supply delays

  • Buyer approval delays

  • Production interruptions

  • Testing or inspection requirements

  • Transport disruption

  • Customs procedures

  • Other circumstances affecting the agreed supply chain

Where a material issue arises, the relevant parties should communicate and review its effect on the order.

The contractual consequences of delay, including any agreed remedies or relief, are governed by the applicable order agreement and law.

24. Defects, Claims and Commercial Resolution

Any concern about product quality, quantity, specifications or shipment condition should be communicated with relevant supporting information.

Useful documentation may include:

  • Purchase order references

  • Approved technical specifications

  • Photographs or videos

  • Inspection reports

  • Measurement records

  • Packing information

  • Relevant shipping documents

Reported concerns will be reviewed according to the available evidence, agreed specifications and applicable contractual responsibilities.

Potential outcomes may include clarification, technical review, corrective action or another mutually agreed commercial resolution.

No universal claims period, replacement entitlement or refund procedure is created by this general information page.

Applicable rights and remedies remain subject to the accepted agreement and mandatory law.

25. Communication and Written Approvals

Clear written communication is important for international apparel manufacturing.

Buyers are encouraged to retain records of:

  • Quotations

  • Sample approvals

  • Technical specification revisions

  • Colour approvals

  • Purchase orders

  • Payment confirmations

  • Inspection findings

  • Shipment instructions

Material commercial changes should be confirmed through authorised communication channels.

Informal discussions should not be relied upon as substitutes for required written approvals.

An email address using one of our official domains must also belong to an authorised representative of Mirthuni Apparel Sourcing Service. The appearance of a company domain or name alone does not establish the authenticity of a communication.

26.2 Unauthorised Communication Channels

Mirthuni Apparel Sourcing Service does not authorise business transactions or binding commercial instructions through:

  • Personal email accounts, including Gmail, Yahoo, Outlook or other private email services

  • Personal or unverified WhatsApp numbers

Payments made to unauthorised accounts will not automatically be recognised as payments received by Mirthuni Apparel Sourcing Service.

Any dispute or liability relating to such payments will be assessed according to the verified circumstances and applicable law.

26.4 Changes to Bank Account Details

Buyers should treat any unexpected request to change beneficiary details, bank account numbers, banking locations or payment instructions as a potential fraud risk.

No change to payment instructions should be acted upon solely because it appears in an email, forwarded message, attachment, WhatsApp message or social media communication.

Before making a payment to changed account details, buyers must independently confirm the instruction using previously verified official company contact information.

A message appearing to originate from an authorised email address may still be fraudulent if an account has been compromised or the sender has been impersonated.

26.5 Quotations, Invoices and Purchase Orders

Buyers should verify that commercial documents are issued or confirmed through our authorised company communication channels.

This includes:

  • Quotations and revised quotations

  • Pro forma invoices

  • Sampling invoices

  • Shipping and export documentation

  • Requests to amend beneficiary or delivery details

Documents received through an unverified source should not be relied upon without independent confirmation.

26.6 Fraudulent Representation and Impersonation

Mirthuni Apparel Sourcing Service does not authorise any unrelated person or organisation to use its name, logo, identity, company registration information or commercial documents to solicit payments or enter into transactions without permission.

If a buyer receives a suspicious communication claiming to represent our company, the buyer should stop the proposed transaction and seek verification through our established official contacts.

We reserve the right to take appropriate action concerning impersonation, misuse of company identity and fraudulent representations.

26.7 Buyer Responsibility for Verification

Before making payments or acting on significant commercial instructions, buyers are encouraged to:

  • Verify the sender’s complete email address and domain

  • Confirm that the WhatsApp number is our designated official business number

  • Match the bank beneficiary name with MIRTHUNI APPAREL SOURCING SERVICE

  • Independently verify any change to bank details

  • Avoid transferring funds based solely on social media or personal messaging requests

  • Retain copies of verified quotations, invoices and payment confirmations

These verification measures are intended to reduce fraud risks and protect both parties.
